Aaron serves as outside general counsel to businesses across diverse industries, as well as to high-net-worth individuals and their family offices, advising them on their legal needs as they arise. His business clients range from publicly traded companies and private equity funds to closely held family companies.
Aaron litigates complex business disputes in state and federal courts and in arbitration, and has handled matters with hundreds of millions of dollars at issue. These include breach of contract, post-M&A and post-transaction, shareholder and partnership, employment, real estate, and technology disputes.
Aaron is a Florida Supreme Court Certified Circuit Civil and Appellate Mediator and Qualified Arbitrator, as well as a Commercial Arbitrator on the National Roster of the American Arbitration Association. Drawing on his litigation experience, he mediates complex commercial disputes to help parties reach practical resolutions, and decides them as an arbitrator, sitting alone or on a panel. He is also available for appointment as a Special Master or Magistrate, including on e-discovery disputes. He previously served on the Executive Council of the Florida Bar’s 1,100-member Alternative Dispute Resolution Section, where he chaired the Business, Employment and Real Estate Disputes Committee.
Aaron represents buyers and sellers in mergers and acquisitions, including strategic acquisitions, private equity transactions, management buyouts, and generational transfers. He guides clients through letters of intent, definitive agreements, and post-closing matters, and has served as lead lawyer on multiple transactions over $50 million in value, including some exceeding $100 million.
Aaron prepares the documents needed to form and operate a business, including entity formation documents, bylaws, operating and shareholder agreements, and employment and licensing agreements. He also advises on corporate governance and maintenance, succession planning, and orderly dissolution.
Aaron reviews and negotiates business contracts, from routine vendor agreements to complex commercial agreements. Before a client signs, he identifies the terms that create risk, invite disputes, or fail to reflect the deal actually negotiated, drawing on his litigation background to assess how a Florida court could interpret each agreement if disputed. Clients rely on Aaron to lead the negotiation of their most significant contracts.
